Subject: Approval of District 5000 Foundation Revised Bylaws
To: Junichi Noumaru <junichi@noumaru.com>

Dear Presidents and Presidents-Elect of the Member Clubs of the Rotary District 5000 Foundation,

You received an email from District 5000 Foundation President Win Schoneman on June 3 alerting you that the Foundation's by laws have undergone a substantial revision and providing a summary of the changes made.  The revision has been approved unanimously by the 11 members of the Board and is now being sent to you for your approval.  Voting to accept the revised by laws will take place at the Foundation's annual meeting on June 27 at 11:00 AM via  zoom meeting at the following link:

This meeting will immediately follow the District meeting on the same date.  It is critical that the Presidents attend this meeting.  You may elect to have your PE as your proxy if you cannot attend, but if you do, you must notify the Foundation secretary, Mary Ann Berry, at agmaryann@aol.com, prior to June 27.  A quorum is needed for the vote, so please make every effort to attend.

Attached you will find an Executive Summary of the revisions made, the Board-approved revised by laws, as well as the current by laws.  To help you navigate through the changes and hopefully answer questions you may have, there will be a Q&A session on Saturday, June 13, at 1:00 PM at the following zoom link:

      Communications

Masahiko Aratani, the president of Higashihiroshima Rotary Club mentioned that the club was ready to offer monetary donation through RCHB to those in need. According to Mr. Aratani, Higashihiroshima Rotary Club had made a monetary donation of about $500 every year to help our club fighting against poverty of the locals for a few years after establishing the sister club relationship. Another reason why the club offered it at this time was to show an appreciation to our mask donation to the club.
I thanked the offer to Mr. Aratani and said to him that I would get back to him after discussing the matter at the BOD meeting.
Richard Cunningham said that the sister relationship with Higashihiroshima Rotary Club started about 20 years ago.

      Discussion

      • David DeLuz Jr. took a lead for the form of Oktoberfest in 2020. Live broadcasting via Na Leo, silent/online auction, pick-up meals... Statewide coordination may be possible for online events such as silent auctions. Mary Begier is in contact with Naomi Masuno. Local virtual concert.
      • The topic moved to whether the club should establish the 501(c)(3) foundation. One idea is to use the D5000 foundation which is a 501(c)(3) organization. This will remove the club's burden to establish and maintain the foundation which may be costly. The drawback of the D5000 foundation is that the money flow will become complicated and the club activities may be restricted by the rules set by the D5000 foundation. This matter will be discussed at the board.

      Next Meeting

      • Wednesday, June 17 from 7 a.m. This will be the last club meeting in this Rotary year.
      • There is the BOD meeting after the club meeting.
